Terms of Service

These Terms govern purchases and use of professional strategy services provided under the MetricBuilds name.

Nature of services

MetricBuilds provides business strategy, venture architecture, operating-model, growth, positioning, commercialization and related professional support. Specific scope is controlled by the purchased package, proposal, statement of work, checkout description, intake confirmation, or other written engagement terms.

No guarantee of outcomes

MetricBuilds does not guarantee revenue, profit, funding, customers, valuation, market adoption, cost savings, regulatory approval, investment returns, or other business outcomes. Recommendations are based on the information available, assumptions identified, and professional judgment applied within scope.

Client responsibilities

Clients are responsible for providing accurate and timely information, identifying material constraints, reviewing deliverables, implementing decisions, obtaining specialist advice where needed, and complying with applicable laws and regulations.

Scope

Each package has a defined scope. Material requests outside that scope may require a separate engagement, additional fee, or written scope change. MetricBuilds may decline to expand a project automatically.

Payment

Work begins only after the required live payment has been verified and applicable intake requirements are complete. Test, sandbox, failed, disputed, reversed, or merely promised payments do not activate work.

Delivery

Services are generally delivered digitally. Delivery timing may depend on scope, information completeness, payment status, client responsiveness, and material evidence gaps.

Intellectual property

Upon full payment, the client may use the final deliverables produced specifically for that engagement for its internal business purposes, subject to any third-party rights or separately stated terms. MetricBuilds retains ownership of its general methods, frameworks, templates, know-how, systems, and pre-existing materials.

Third-party and regulated matters

MetricBuilds is not acting as legal counsel, accountant, tax advisor, investment advisor, broker, engineer, medical professional, or other regulated professional unless a separate written engagement explicitly states otherwise. Clients should consult qualified specialists for regulated matters.

Limitation and reliance

Business decisions involve uncertainty. Clients remain responsible for final decisions and implementation. MetricBuilds should not be the sole source relied upon for decisions requiring licensed, fiduciary, regulatory, technical certification, or jurisdiction-specific advice.

Termination

MetricBuilds may pause or terminate work for nonpayment, abusive conduct, illegal requests, material misrepresentation, inability to obtain required information, conflicts, or scope conditions that make responsible delivery impracticable.

Changes

These Terms may be updated prospectively. The version in effect when an engagement is purchased generally governs unless otherwise agreed in writing.
